Challenge
A first-time founder had a clear community mission and early volunteer support, but no entity, no governing documents, and no experience navigating the 501(c)(3) determination process. Board structure, bylaws, and financial policy all had to be built from a blank page while the founder was also trying to launch programming.
Approach
Working through the Victory Start framework, we guided entity-type selection and Articles of Organization, then built the governance layer in parallel: nonprofit bylaws and corporate policies, a board structure sized to the organization's actual stage, and the narrative of activities and financial projections the IRS determination process requires. Basic HR and financial policies were drafted before the first hire or the first check was written.
Result
The organization received its IRS determination letter with governing documents already in place and audit-ready, rather than reconstructing them retroactively under funder pressure. The founder entered the first full grant cycle with a board that understood its role, a documented financial policy a funder could review on request, and a clean compliance foundation.
We didn't know what we didn't know. Having the governance built before we needed it, instead of scrambling after a funder asked for it, changed how we walked into every conversation that first year.
