Challenge
An established firm's founder was planning a multi-year transition to new leadership, but board oversight had stayed informal for years — meetings happened, but minutes were thin, there was no written boundary between board and management authority, and financial reporting wasn't structured for a board that would soon need to operate without the founder's institutional memory in the room.
Approach
We conducted a comprehensive organizational diagnostic covering governance framework, board effectiveness, and financial controls, then rebuilt board reporting so it stood on its own without depending on the founder to narrate context in every meeting. A written governance framework defined, for the first time, exactly what required board approval versus management discretion — and a compliance calendar and internal audit cadence were put in place to carry forward past the transition.
Result
The board entered the transition period with documented minutes, a clear governance framework, and reporting systems built to function independently of any one person's institutional knowledge. The founder was able to hand off decision authority on a defined schedule rather than an open-ended one, with the incoming leadership team already operating inside the new structure before the handoff was complete.
The hardest part of succession isn't picking the successor. It's making sure the organization doesn't quietly depend on the person leaving. This gave the board a structure that outlasts any one of us.
